I have a 2AC ticket for 2 passengers under same PNR. Post chart preparation one seat in confirmed and other is waiting. Both passengers can travel in this scenario, right ? Please advise.

Both passengers can travel. But the waitlisted passenger has to adjust with you.
In case of eticket, if waitlisted passenger doesn't travel, you will have to file TDR

On indian railway website it shows when I check my PNR "Please Note that in case the Final Charts have not been prepared, the Current Status might upgrade/downgrade at a later stage."
Does this means that a second chart will be prepared too ?

Yes Second Chart Prepare but only for Current Booking not for First Chart WL/RAC pax
